Plus One Terms of Service Last Revised: June 2024

Welcome to Plus One! These Terms of Service ("Terms") govern your access to and use of our mobile application ("App") operated by Plus One ("Company", "us", "our", and "we"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to all of the provisions of these Terms, do not access or use the App.

1. Accounts

1.1 Account Creation: To use certain features of the App, you must register for an account ("Account") and provide accurate information about yourself as prompted by the registration form. You represent and warrant that all required registration information you submit is truthful and accurate and that you will maintain the accuracy of such information. You may delete your Account at any time by following the instructions on the App. We may suspend or terminate your Account in accordance with Section 10.

1.2 Account Responsibilities: You are responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use or suspected unauthorized use of your Account. We are not liable for any loss or damage arising from your failure to comply with these requirements.

2. Access to the App

2.1 License: Subject to these Terms, we grant you a non-transferable, non-exclusive, revocable, limited license to use and access the App solely for your own personal, non-commercial use.

2.2 Restrictions: You agree not to (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the App or its content; (b) modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the App; (c) access the App to build a similar or competitive service; or (d) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the App in any form or by any means.

2.3 Modification: We reserve the right to modify, suspend, or discontinue the App (in whole or in part) at any time with or without notice to you. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuation of the App or any part thereof.

2.4 Ownership: Except for your User Content (defined below), all intellectual property rights in the App and its content are owned by us or our licensors. These Terms do not transfer any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth herein.

3. User Content

3.1 User Content: "User Content" refers to any information and content that a user submits, posts, or uploads to the App. You are solely responsible for your User Content and assume all risks associated with its use. You represent and warrant that your User Content does not violate our Acceptable Use Policy.

3.2 License: You grant us an irrevocable, non-exclusive, royalty-free, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content. You irrevocably waive any claims and assertions of moral rights or attribution with respect to your User Content.

3.3 Acceptable Use Policy: You agree not to upload, transmit, or distribute any User Content that (a) infringes any third-party rights; (b) is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, or otherwise objectionable; (c) harms minors in any way; or (d) violates any law, regulation, or obligations or restrictions imposed by any third party.

3.4 Enforcement: We may review and remove any User Content at our sole discretion if it violates the Acceptable Use Policy or any other provision of these Terms.

4. Subscription and Payment

4.1 Subscription Fees: Access to and use of the App is subject to a monthly subscription fee ("Fee"). The Fee is payable in U.S. dollars or other currency as applicable. Your credit card will be charged at the time of subscription or the end of your free trial, and regularly thereafter based on the terms of your subscription. The Fee is non-refundable except as provided in Section 10.

4.2 Payment Failure: If we are unable to process payment via your credit card, we will attempt to notify you via email, and your account may be disabled until payment is received.

5. Feedback

If you provide us with any feedback or suggestions regarding the App, you assign to us all rights in such feedback and agree that we have the right to use and fully exploit such feedback in any manner we deem appropriate without compensation or credit to you.

6. DMCA and Content Removal

Users can send DMCA requests to support@plusonechinese.com. We will review and remove any content that infringes upon third-party intellectual property rights as required by law.

7. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the App or your violation of these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

9. Term and Termination

We may terminate or suspend your access to the App at any time, with or without cause or notice to you. Upon termination, your right to use the App will immediately cease. If you wish to terminate your Account, you may simply discontinue using the App.

10. General

10.1 Changes: We reserve the right to modify these Terms at any time by posting the updated terms on the App. Your continued use of the App following any changes to these Terms will constitute your acceptance of such changes.

10.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
